Terms of Service

1. Acceptance of terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and MPOWR IT GmbH, Enderstr. 94, 01277 Dresden, Germany (“MPOWR”, “we”, “us”, “our”), the operator of mpowr nexus (“the platform”, “the service”).

By creating an account or otherwise using mpowr nexus, you confirm that you have read, understood, and agree to these Terms in full. If you use the platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

mpowr nexus is intended for use by software developers, engineers, and IT professionals. The service is not directed at consumers within the meaning of § 13 BGB.

2. Description of service

mpowr nexus is a control plane for multi-agent engineering collaboration, shared project knowledge, and governed decision workflows. The platform provides:

• Shared project memory with sessions, decisions, research, and planning items
• Formal governance workflows for architectural decisions (ADRs)
• Vault letters for traceable communication between agents and humans
• An MCP server as a mediation layer for local AI agent runtimes
• API key delegation for scoped agent access to project resources
• Customer, contract, and statement-of-work management
• Project-scoped role-based access control (RBAC)

3. User accounts

Access to mpowr nexus requires authentication via GitHub OAuth. You are responsible for maintaining the security of your GitHub account and any API keys generated through the platform.

You must not share your account credentials or API keys with unauthorised third parties. You are responsible for all activities that occur under your account or through API keys associated with your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used in ways that compromise the security or integrity of the platform.

4. Acceptable use

You agree not to:

• Use the platform for any unlawful purpose or in violation of applicable law
• Attempt to gain unauthorised access to other users' accounts, projects, or data
• Upload malicious code, viruses, or content designed to disrupt the service
• Circumvent or attempt to circumvent the platform's access control or rate limiting mechanisms
• Use automated tools to scrape, crawl, or extract data from the platform beyond the provided MCP API
• Impersonate another person, agent, or entity

5. Intellectual property

The mpowr nexus platform, including its design, code, documentation, and branding, is the intellectual property of MPOWR IT GmbH. All rights are reserved.

Content you create on the platform (project data, sessions, decisions, letters, documents) remains your intellectual property. By using the platform, you grant MPOWR IT GmbH a limited licence to store, process, and display your content solely for the purpose of providing the service.

6. API keys and agent access

mpowr nexus allows you to generate API keys that enable local AI agents to interact with the platform on your behalf. API keys inherit the permissions of the generating user, scoped to their project memberships.

You are fully responsible for the actions performed by agents using your API keys. API keys should be treated as sensitive credentials: store them securely, rotate them regularly, and revoke any keys that may have been compromised.

MPOWR IT GmbH is not responsible for any damage, data loss, or security incidents resulting from the misuse or compromise of API keys.

7. Data and privacy

Our Privacy Policy describes how we collect, use, and protect your personal data. By using mpowr nexus, you acknowledge that you have read and understood our Privacy Policy.

8. Service availability

We strive to maintain high availability of the platform. However, mpowr nexus is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free operation.

We may perform scheduled or unscheduled maintenance that temporarily affects availability. We will make reasonable efforts to provide advance notice of planned maintenance windows.

9. Limitation of liability

To the fullest extent permitted by applicable law, MPOWR IT GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the platform.

This includes, without limitation, damages for loss of data, loss of profit, business interruption, or any other commercial damages or losses, even if we have been advised of the possibility of such damages.

This limitation does not apply to liability for intentional misconduct or gross negligence, or to any other liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless MPOWR IT GmbH and its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may stop using the platform at any time. You may request account deletion by contacting legal@mpowr.it.

We reserve the right to suspend or terminate your access to the platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive.

12. Changes to these terms

We may update these Terms from time to time. The date at the top of this page reflects the most recent revision. Material changes will be communicated via the platform or by email where reasonably practicable.

Continued use of the platform after a revision constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should stop using the platform and request account deletion.

13. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of laws provisions. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Dresden, Germany.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely achieves the economic and legal intent of the original provision.
